Item 8.01 Other Events

          On August 18, 2006, Electronic Hardware Corp. (“Electronic Hardware”), a subsidiary of the Company, received a subpoena which was issued by a grand jury of the United States District Court, Eastern District of New York, in connection with an investigation by the Office of the Inspector General of the U.S. Department of Defense.  The subpoena requires that Electronic Hardware provide documents, records and correspondence related to contracts between the Department of Defense and Electronic Hardware during the period from January 1, 1999 to the present.  Electronic Hardware intends to fully comply with the subpoena and cooperate with any Department of Defense Investigation.
