Item 1.01 Entry Into a Material Definitive Agreement

On March 15, 2006, the Compensation Committee (the “Committee”) of the Registrant’s Board of Directors approved base salary merit increases for the Registrant’s executive officers. The approved base salary merit increases are as follows: Marc Aronson’s, the Registrant’s Senior Vice President of Engineering base salary will increase to $274,000, Maury Austin’s, the Registrant’s Chief Financial Officer base salary will increase to an annual salary of $310,000, and Larry Bercovich, the Registrant’s Senior Vice President, General Counsel and Secretary base salary will increase to an annual salary of $234,000.
