Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
Effective as of May 6, 2009, Serguei Bedziouk  resigned as a member of the Board of Directors of Element 21 Golf Company, a Delaware corporation (the “Company”).  Mr. Bedziouk indicated in his letter of resignation, a copy of which is filed herewith that he resigned in order devote his time to other matters.  The resignation was not due to any disagreement with the Company.  A copy of this current report was furnished to Mr. Bedziouk prior to its filing.
