Explanation of Responses:

1. The reporting person received a grant of options to purchase an aggregate of 80,000 shares of common stock under the Issuer's 2009 Equity Incentive Plan on December 22, 2009, with the option to purchase 40,000 shares vesting immediately on the grant date and the option to purchase the remaining 40,000 shares vesting on December 31, 2010. The stock options are exercisable for five years from the date of grant. Of the 80,000 stock options allocated and granted to the reporting person, only 56,667 options vested under the terms of the stock option agreement; no additional options will vest to the reporting person.
