Item 8.01.  Other Events.
 
Hampton Roads Bankshares, Inc. (the “Company”) announced today that it has finalized an agreement with the United States Department of the Treasury (“Treasury”) pursuant to which Treasury will exchange the cumulative preferred stock it purchased from the Company in 2008 under Treasury’s Capital Purchase Program into mandatorily convertible preferred stock.  A copy of the press release is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
