Item 8.01 Other Events.

On October 28, 2010, the Company issued a press release announcing that it had entered into a merger agreement. A copy of the press release is filed as Exhibit 99.1 hereto. Also on October 28, 2010, the Company’s Chief Executive Officer sent an email message to all of the Company’s employees. A copy of this email is filed as Exhibit 99.2 hereto.
