Item 5.02 Compensatory Arrangements of Certain Officers and Directors.
 
(c) In order to provide additional retention incentives and in recognition of his performance, on November 10, 2010 the Compensation Committee (the “Committee”) of Standard Microsystems Corporation (the “Company”) granted 14,230 restricted stock units to Roger Wendelken, Vice President of Worldwide Sales, and increased his base salary to $300,000 from $275,000, effective November 15, 2010.   The restricted stock units will vest in three equal annual increments beginning one year from the grant date of November 10, 2010.
