On April 16, 2012, William K. Campbell, President of Americas Sales of LeapFrog Enterprises, Inc. (the “Company”), notified the Company that he is retiring from the Company, effective June 15, 2012.

We issued a press release in connection with Mr. Campbell’s retirement on April 20, 2012. A copy of this press release entitled “LeapFrog Announces Retirement of Bill Campbell” is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
