VALENTIS ANNOUNCES THIRD QUARTER FISCAL 2006 FINANCIAL RESULTS

Burlingame, CA, May 12, 2006 - Valentis, Inc. (NASDAQ: VLTS) today announced results for its third fiscal quarter ended March 31, 2006.

Valentis reported a net loss for the three months ended March 31, 2006 of $4.9 million, or $0.32 per basic and diluted share, on revenue of $114,000, compared to a net loss of $3.0 million, or $0.23 per basic and diluted share, on revenue of $324,000 for the corresponding period of the prior year. Net loss for the nine months ended March 31, 2006 was $12.3 million, or $0.83 per basic and diluted share, on revenue of $587,000, compared to a net loss of $8.5 million, or $0.65 per basic and diluted share, on revenue of $1.6 million for the corresponding period of the prior year.

The decrease of approximately $1.0 million in revenue in the nine months ended March 31, 2006 compared to the corresponding period in 2005 primarily reflected approximately $1.0 million of license revenue recognized in the quarter ended September 30, 2004 that was non-recurring.

Total operating expenses for the quarter ended March 31, 2006 were approximately $5.0 million, an increase of approximately $1.6 million compared to the corresponding period in 2005. Total operating expenses for the nine months ended March 31, 2006 were approximately $13.1 million, an increase of approximately $2.8 million compared to the corresponding period in 2005. The increases were primarily attributable to higher pre-clinical and clinical study expenses incurred in the three months and nine months ended March 31, 2006, and non-cash stock-based compensation expenses of approximately $425,000 and $1.4 million recorded in the three months and nine months ended March 31, 2006, respectively.

On March 31, 2006, Valentis had approximately $7.9 million in cash, cash equivalents and short-term investments compared to approximately $12.5 million on June 30, 2005. The decrease of approximately $4.6 million primarily reflects the funding of ongoing operations, partially offset by net proceeds of approximately $5.0 million received from a private placement of Valentis’ common stock completed in March 2006.

About Valentis

Valentis is a biotechnology company engaged in the development of innovative products for peripheral arterial disease (PAD), a large and unsatisfied market. PAD is due to chronic inflammation of the blood vessels of the legs leading to the formation of plaque, which obstructs blood flow. VLTS 934, the company’s lead product, is an anti-inflammatory drug in Phase II testing. The Company’s second product for PAD is the Del-1 angiogenic protein; a product, which the Company believes promotes the formation of new blood vessels. Valentis has developed a series of technologies, including gene delivery and expression technologies, and proprietary formulation and manufacturing technologies that allow the generation of novel therapeutics to treat a wide range of diseases. While Valentis is focusing its efforts on the development of novel peripheral arterial disease therapeutics, its technologies are being applied by its collaborators for the development of therapeutics to treat a variety of indications including infectious diseases and cancer.
