Item 3.01    Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing
On May 24, 2015, Fenix Parts, Inc. (the “Company”) received a letter from The Nasdaq Stock Market LLC ("Nasdaq") stating that it was not in compliance with Nasdaq Listing Rule 5250(c)(1) for failure to file timely with the Securities and Exchange Commission (the "SEC") its Quarterly Report on Form 10-Q for the period ended March 31, 2016. The quarterly report was required to be filed with the SEC by the Company on or before May 23, 2016 in order to be considered as timely filed. Pursuant to this letter, the Company is required to submit to Nasdaq a plan to regain compliance with Nasdaq's continued listing standards no later than July 25, 2016. The Company intends to file its Quarterly Report on Form 10-Q for the period ended March 31, 2016 after the resolution and review of certain accounting matters. The Company expects to be in compliance with Nasdaq's continued listing standards shortly after its filing.

On May 24, 2016, the Company issued a press release announcing the receipt of the deficiency letter, a copy of which is attached hereto as Exhibit 99.1 and incorporated by reference herein.
