Item 8.01 Other Events.

Effective August 15, 2008, the Board of Directors of China-Biotics, Inc. (the “Company”) appointed American Stock Transfer & Trust Company (“AST”) as transfer agent and registrar for the Company. AST replaces the Company’s former transfer agent and registrar, American Registrar & Transfer Company.
 
The press release issued in connection with such appointment is included as Exhibit 99.1 to this report and is incorporated by reference herein.
