APPOINTMENT OF PRINCIPAL OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On January 9, 2007, Gary Musil resigned as a member of the Board of Directors of Skins Inc. (the “Company”) effective immediately. Mr. Musil’s resignation is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. On January 9, 2007, the Board of Directors filled the vacancy created by Mr. Musil’s resignation by appointing Frank Zambrelli as a new member of the Board of Directors.
