Item 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

(d) Effective March 3, 2008, the Registrant’s Board of Directors has elected James H. Dennedy as a new director, after expanding the size of the Board of Directors from six to seven members. Upon his election, Mr. Dennedy received an automatic award of a stock option to purchase 62,500 shares of the Registrant’s common stock, for an exercise price of $2.72 per share, under the Registrant’s 2000 Non-Employee Director Stock Option Plan; these option shares will vest in three equal portions on the first, second and third anniversaries of grant.

Mr. Dennedy does not have, and has not had since the Registrant’s last fiscal year, a relationship with the Registrant that would require disclosure under Item 404(a) of Regulation S-K.
