Item 5.07 Submission of Matters to a Vote of Security Holders

Xura, Inc., a Delaware corporation (the “Company”), held its 2016 Annual Meeting of Stockholders on August 16, 2016 (the “Meeting”). A total of 21,295,050, or approximately 84.7% of the Company’s common stock issued and outstanding as of the record date of July 11, 2016, was represented at the Meeting in person or by proxy, which constituted a quorum. Each of the proposals listed below is described in detail in the Company’s proxy statement dated July 12, 2016, which was first mailed to the Company’s stockholders on or about July 14, 2016. A summary of the voting results for each of those proposals is set forth below:

 

(1) The stockholders approved the Agreement and Plan of Merger, dated as of May 23, 2016, by and among Sierra Private Holdings II Ltd., a private limited company incorporated under the laws of England and Wales (“Parent”), Sierra Private Merger Sub Inc., a Delaware corporation (“Merger Sub”), and the Company, and thereby approved the transactions contemplated thereby, including the merger of Merger Sub with and into the Company, with the Company continuing as the surviving corporation and as an indirect wholly-owned subsidiary of Parent. The voting results were as follows:

(2) The stockholders elected the following eight nominees to the Company’s board of directors until the effective time of the merger, or, if the merger is not completed, until the 2017 annual meeting of stockholders or until their respective successors have been duly elected and qualified.
