Footnote 2 to the table regarding the classification of fees paid to Ernst & Young, the Company’s independent registered public accounting firm, on page 16 of the definitive proxy statement, is revised as follows:

 

(2) The fees billed by Ernst & Young LLP for tax compliance and preparation services were approximately $649,000 for 2011. The fees billed by Ernst & Young LLP for tax advice and tax planning services were approximately $2,842,000 for 2011.
