Item 2.02. Results of Operations and Financial Condition

On April 29, 2009, I-many, Inc. announced its financial results for the quarter ended March 31, 2009. The full text of the press release issued in connection with the announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

On April 29, 2009, I-many, Inc. and LLR Partners, Inc. issued a joint press release announcing the execution of an Agreement and Plan of Merger by and among I-many, Inc., Sapphire Stripe Holdings, Inc. and Sapphire Stripe Acquisition Company. A copy of the press release is filed as Exhibit 99.1 to I-many’s April 29, 2009 Current Report on Form 8-K disclosing its entry into the agreement.
