Explanation of Responses:
1. 25% of the shares of common stock underlying this stock option award will vest on March 14, 2017, with the remaining 75% of the shares of common stock underlying this stock option award vesting thereafter in equal monthly installments through March 14, 2020, subject, with limited exceptions, to the Reporting Person's continued employment with the Issuer.
2. The stock option award has an exercise price equal to the closing price of the Issuer's common stock on the NASDAQ Global Select Market on the date of grant.
3. 25% of the shares of common stock underlying this stock option award will vest on May 9, 2017, with the remaining 75% of the shares of common stock underlying this stock option award vesting thereafter in equal monthly installments through May 9, 2020, subject, with limited exceptions, to the Reporting Person's continued employment with the Issuer.
4. Subject, with limited exceptions, to the Reporting Person's continued employment with the Issuer, the restricted stock units will vest and become exercisable as to 33.34% of the units on May 9, 2017; 33.33% of the units on May 9, 2018; and 33.33% of the units on May 9, 2019.
5. Each restricted stock unit represents a contingent right to receive one share of common stock.
