Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On May 23, 2016, Xura, Inc. filed its Annual Report on Form 10-K for the fiscal year ended January 31, 2016 with the Securities and Exchange Commission and regained compliance with the continued listing requirements of the Listing Qualifications Department of The Nasdaq Stock Market.
