("Apollo Management") and its affiliated investment managers, including AP VIII Prime Security Services Management, LLC, which serves as the investment manager of AP VII Prime Security, L.P., the sole member of the general partner of Prime Security Services TopCo Parent, L.P. ("TopCo Parent"), which holds shares of common stock, par value $0.01, of ADT Inc. (the "Issuer"), and as such Apollo Management may be deemed to beneficially own the shares of common stock of the Issuer held by TopCo Parent. This report does not include any securities of the Issuer held by TopCo Parent, or that may be deemed to be beneficially owned by AP VIII Prime Security Services Management, LLC, or any of the other Apollo investment managers or investment advisors affiliated with Apollo Management, and Mr. Nord disclaims beneficial ownership of all such securities.
