Item 8.01Other Events

 

Eureka Homestead Bancorp, Inc. (the “Company”), a Maryland corporation and the holding company for Eureka Homestead (the “Bank”), announced that it completed its stock offering in connection with the mutual to stock conversion of the Bank, effective July 9, 2019. Shares of the Company’s common stock began trading on July 10, 2019 on the OTC Pink Marketplace (www.otcmarkets.com) under the trading symbol “ERKH”.

 

In the stock offering, the Company sold 1,429,676 shares of its common stock, including 114,374 shares purchased by the Bank’s employee stock ownership plan, at a price of $10.00 per share, for gross offering proceeds of $14,296,760.

 

Direct Registration Statements reflecting the shares purchased in the stock offering were mailed to subscribers on or about July 9, 2019, and any interest checks due to subscribers were mailed on or about July 9, 2019. FIG Partners, LLC (“FIG”) acted as selling agent in the stock offering and as financial advisor to the Company and the Bank in connection with the mutual to stock conversion. Luse Gorman, PC, Washington, DC served as legal counsel to the Company and the Bank. Reinhart Boerner Van Deuren s.c., Milwaukee, Wisconsin served as legal counsel to FIG.
