On October 31, 2019, Marathon Petroleum Corporation (“MPC”) issued a press release announcing third-quarter 2019 earnings. The press release is included as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

On October 31, 2019, MPC announced its intention to separate its Speedway business into an independent, publicly traded company and to form a special committee of its board of directors to enhance its evaluation of strategic alternatives regarding its Midstream business. A copy of the press release and a related investor presentation posted to the Investor Relations section of MPC’s website are attached hereto as Exhibit 99.2 and Exhibit 99.3, respectively, and are incorporated herein by reference.
MPC’s board of directors has also determined to submit and recommend a proposal at MPC’s 2020 annual meeting of shareholders (“2020 Annual Meeting”) to approve an amendment to MPC’s Restated Certificate of Incorporation to eliminate, over a three-year period, the classified structure of the board of directors and provide for the annual election of all directors.  Pursuant to MPC’s Restated Certificate of Incorporation, such proposal requires the affirmative vote of holders of at least 80% of MPC’s outstanding shares.
