Item 8.01 Other Events.

On November 21, 2019, Kay Krill, a member of the Board of Directors (the “Board”) of Ascena Retail Group, Inc., voluntarily resigned from the Compensation and Stock Incentive Committee of the Board (the “Compensation Committee”), effective immediately. Following such resignation, Ms. Krill will continue to serve as a member of the Board, and the Compensation Committee will consist of Linda Yaccarino, Carl Rubin and Kate Buggeln.
