Item 8.01 Other Events
Banner Corporation (“Banner”) announced today that it is changing the timing of its quarterly dividend announcements. Banner and its subsidiary banks are subject to various bank regulatory constraints and guidance regarding the payment of dividends, including limitations on dividends in excess of retained earnings and/or current quarter net income. In light of the uncertainty arising from the current pandemic and the related economic conditions in the industry, Banner has determined that it is prudent that its Board of Directors have full-quarter financial information available when considering the declaration of Banner’s quarterly dividends. As a result, Banner’s Board of Directors will now consider the declaration of quarterly dividends concurrent with the release of Banner’s quarterly earnings.
