Item 1.01. Entry into a Material Definitive Agreement.

 

The information in this report set forth under Item 2.03 regarding the Loan is incorporated herein by reference.

 

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

 

On July 7, 2005, we agreed to borrowed $53.1 million under the terms of a seven-year interest-only loan with KeyBank National Association at a fixed rate of 5.2 percent in connection with our recent purchase of the Hilton Glendale Hotel located in Glendale, California (the “Loan”). The Hilton Glendale Hotel secures the loan. The proceeds from the Loan were used on July 8, 2005 to pay off our recently funded bridge loan also secured by the Hilton Glendale Hotel for the same amount.
