Item 8.01

Other Events.

On February 23, 2021, the Board of Trustees (the “Board”) of PennyMac Mortgage Investment Trust (the “Company”) appointed David A. Spector as its Chairman of the Board and Chief Executive Officer. In addition, the Board approved an additional three year term for its independent lead trustee, Preston DuFauchard, to commence after the expiration of his current term. On February 24, 2021, the Company also issued a press release discussing the appointment that is attached hereto as Exhibit 99.1 and incorporated herein by reference.
