Item 8.01. Other Events.

On December 16, 2021, FREYR Battery issued a press release announcing the entry into an inaugural offtake agreement for at least 31 GWh of low-carbon battery cells with an undisclosed, leading global publicly listed manufacturer and provider of energy storage systems. A copy of the press release is attached hereto as Exhibit 99.1.
