Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 20, 2021, Vinayak R. Hegde informed Gannett Co., Inc. (the “Company”) that due to demands on his time, he will not stand for re-election as a director at the Company’s 2022 annual meeting of stockholders. Mr. Hegde indicated that his departure is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
