Item 1.01. Entry into a Material Definitive Agreement
On January 27, 2022, USCC EIP LLC (USCC EIP), a wholly-owned subsidiary of United States Cellular Corporation (UScellular), a subsidiary of Telephone and Data Systems, Inc., entered into a Master Framework Agreement and a Master Repurchase Agreement, both of which are effective January 26, 2022 (collectively, the Transaction Agreements) with MUFG Bank, Ltd., New York Branch (MUFG), as disclosed in UScellular’s Form 8-K dated January 27, 2022, which Form 8-K is incorporated by reference herein. The Transaction Agreements are effective as of January 26, 2022.

Additionally, UScellular is a guarantor of USCC EIP’s performance under the Transaction Agreements. UScellular does not guarantee that the receivables are collectible.

The terms and conditions of the UScellular Transaction Agreements are described in such Form 8-K.

A copy of the Transaction Agreements and the Guaranty by UScellular are incorporated by reference to the Exhibits attached hereto.
