Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 2, 2008, Dennis J. Purcell resigned as a director of Auxilium Pharmaceuticals, Inc. (the “Company”), effective immediately, for personal reasons and not as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Purcell has served as a director of the Company since October 2001.
