State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

U.S. Global Investors, Inc. (“USGI” or “Registrant”) has determined that it will not be able to file its Quarterly Report on Form 10-Q for the quarter ended December 31, 2021, within the prescribed time period without incurring unreasonable effort and expense due to significant resources utilized in the current period to complete previous filings, which delayed preparation of the current report. The Registrant believes that it will file the Quarterly Report on or before the fifth calendar day provided by Rule 12b-25.

Anticipated income before taxes for the three and six months ended December 31, 2021, decreased approximately 79% and 69% from the corresponding period for the last fiscal year, respectively, mainly due to higher than usual gains realized on sales of securities in the corresponding periods for the last fiscal year, somewhat offset by an increase in anticipated operating income.
