Item 5.02.

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers

On March 31, 2022, Steven M. Paul, M.D. informed the Board of Directors (the “Board”) of Alnylam Pharmaceuticals, Inc. (the “Company”) of his resignation from the Board effective as of April 16, 2022.

Upon the effectiveness of Dr. Paul’s resignation, Colleen F. Reitan will become a member of the People, Culture and Compensation (“PC&C”) Committee of the Board. Amy W. Schulman will continue as the Chair of the PC&C Committee, and Olivier Brandicourt will continue to serve as a member of the PC&C Committee.

Dr. Paul’s resignation was not caused by any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

In addition, on March 31, 2022, following the recommendation of its Nominating and Corporate Governance Committee, the Board approved a reduction in the size of the Board from eleven to ten members effective upon Dr. Paul’s resignation.

A press release announcing the retirement of Dr. Paul was issued on April 5, 2022, a copy of which is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
