Item 8.01 Other Events.

On April 7, 2022, CDK Global Inc., a Delaware corporation (the “Company”) issued a press release announcing entry into an Agreement and Plan of Merger (the “Merger Agreement”), dated April 7, 2022, by and among the Company, Central Parent LLC, a Delaware limited liability company (“Parent”) and Central Merger Sub Inc., a Delaware corporation (“Merger Sub”).

A copy of the press release is filed as Exhibit 99.1 to this report and incorporated herein by reference.

Additional Information

The tender offer for the outstanding common stock of the Company has not yet commenced. This communication does not constitute a recommendation, an offer to purchase or a solicitation of an offer to sell the Company’s securities. An offer to purchase shares of the Company’s common stock will only be made pursuant to an Offer to Purchase and related tender offer materials.
