Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On October 14, 2008, the Compensation Committee of the Board of Directors of Psychiatric Solutions, Inc. (the “Company”) increased the annual retainer received by the Company’s non-employee directors to $60,000 from $40,000, effective at the Company’s next annual meeting of stockholders, which is the date on which the annual retainer is paid to the non-employee directors. The other components of non-employee director compensation were not changed.
