(d) The Board of Directors of the Company appointed Thomas A. Corcoran to the Board of Directors effective as of September 24, 2008. Mr. Corcoran will serve on the Organization & Compensation Committee of the Board. Mr. Corcoran is not a party to any transaction, or series of transactions, required to be disclosed pursuant to Item 404(a) of Regulation S-K.
