Explanatory Note

This Current Report on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K filed by Urban Edge Properties (the “Company”) with the United States Securities and Exchange Commission (the “Commission”) on May 5, 2022 (the “Original Form 8-K”). The Original Form 8-K reported the final voting results of the matters voted on at the Company’s 2022 annual meeting of shareholders held on May 4, 2022 (the “Meeting”). The sole purpose of this Amendment is to disclose, in accordance with Item 5.07(d) of Form 8-K, the Company’s decision as to the frequency of future non-binding advisory votes on the compensation of the Company’s named executive officers. Except as set forth herein, no other modifications have been made to the Original Form 8-K.

Item 5.07    Submission of Matters to a Vote of Security Holders.

(d)    As previously disclosed in the Original Form 8-K, in a non-binding advisory vote on the frequency of shareholder advisory votes on the compensation of the Company’s named executive officers held at the Meeting, a majority of votes were cast in favor of holding non-binding advisory votes on the compensation of the Company’s named executive officers every year. In accordance with these results and the previous recommendation of the Company’s Board of Trustees (as set forth in the Company’s Definitive Proxy Statement on Schedule 14A filed with the Commission on March 25, 2022), the Company intends to hold such votes every year until the next required vote on the frequency of shareholder advisory votes on the compensation of the Company’s named executive officers, which will be no later than the Company’s annual meeting of shareholders in 2028.
