On December 8, 2022, Bunge Limited announced that it intends to change its place of incorporation from Bermuda to Switzerland. The proposal is subject to various conditions, including shareholder approval, which Bunge expects to seek in 2023. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
