Item 8.01. Other Events.

On September 28, 2007, PSI Corporation (the “Company”) and Blue Jeans Equities West (“Blue Jeans”) reached a mutually-agreeable resolution of the litigation between them. Blue Jeans had filed the lawsuit against the Company in California Superior Court in September 2006. The confidential settlement between the Company and Blue Jeans resolves all differences between them.
