On July 20, 2006, stockholders of United Financial Bancorp, Inc. (the “Registrant”) approved the Registrant’s 2006 Stock-Based Incentive Plan (the “Stock Incentive Plan”). A description of the Stock Incentive Plan is included in “Proposal 2 - Approval of the 2006 United Financial Bancorp, Inc. Stock-Based Incentive Plan” of the Registrant’s Definitive Proxy Statement for its 2006 Annual Meeting, as filed with the Securities and Exchange Commission (the “SEC”) on June 12, 2006, and is incorporated herein by reference.
