Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 3, 2023, Vandad Fartaj ceased serving as PennyMac Mortgage Investment Trust’s (the “Company”) Senior Managing Director and Chief Investment Officer.  

On March 9, 2023, the Company announced that William Chang has been appointed as the Company’s Senior Managing Director and Chief Investment Officer.

On March 9, 2023, the Company issued a press release announcing the items described in Item 5.02 of the Current Report on Form 8-K. A copy of the press release is furnished as Exhibit 99.1 hereto.
