DXP Enterprises, Inc. (the “Company”) is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2022 (the “2022 10-K”), as the Company requires additional time to complete the procedures relating to its year-end reporting process and procedures relating to management’s assessment of the effectiveness of internal controls. The Company expects to report additional material weaknesses related to revenue, access to systems and sufficiency of personnel. As a result, the Company cannot file its 2022 10-K within the prescribed period without unreasonable effort or expense. The Company intends to file its Form 10-K by March 31, 2023.

For the year ended December 31, 2022, the Company expects to reflect a significant increase in revenue, operating income, earnings before interest, taxes, depreciation and amortization ("EBITDA") and diluted earnings per common share (“EPS”) compared to the year ended December 31, 2021. For the twelve months ended December 31, 2022, the Company expects revenues to range between $1.40 billion to $1.46 billion, compared to $1.11 billion for the twelve months ended December 31, 2021. Operating income is expected to range between $80 million to $90 million for the twelve months ended December 31, 2022, compared to $40 million for the for the same period in the prior year. EBITDA for the twelve months ended December 31, 2022, is expected to be in the range of $110 million to $120 million compared to EBITDA of $67 million for the same period in the prior year. Fully diluted EPS for the twelve months ended December 31, 2022, is expected to be in the range of $1.92 to $2.07 compared to EPS of $0.83 for the same period in the prior year. This financial information is preliminary, unaudited and subject to change pending the completion of the 2022 10K.
