Item 5.07

Submission of Matters to a Vote of Security Holders

At the Annual Meeting of Shareholders held on May 2, 2023, shareholders elected (i) to three-year terms, each of the three Class III directors nominated by the Board and (ii) to a one-year term, one Class I director nominated by the Board. The shareholders also ratified the selection of Ernst & Young LLP as the Company’s independent auditor for the year ending December 31, 2023 and approved, on an advisory basis, the compensation of the Company’s named executive officers. The final voting results from the Annual Meeting are as follows:

 

Proposal 1 - Election of three Class III directors, each to hold office for a three-year term expiring at the 2026 annual meeting, and election of one Class I director to hold office for a one-year term (the remaining term for that class of directors) expiring at the 2024 annual meeting
