Item 8.01

Other Events.

On May 4, 2023, Holly Energy Partners, L.P. (the “Partnership” or “HEP”) announced it received a non-binding proposal letter from HF Sinclair Corporation ( “HF Sinclair”) to the board of directors of the ultimate general partner of the Partnership offering to acquire all publicly held common units (“Common Units”) of the Partnership in exchange for common stock, par value $0.01 per share (“Common Stock”), of HF Sinclair. Subject to the negotiation and execution of mutually acceptable definitive documentation containing terms and conditions customary for a transaction of this type, HF Sinclair proposes to effect the transaction at a fixed exchange ratio of 0.3714 newly issued shares of Common Stock per each publicly held Common Unit, which was derived using the 30-day volume weighted average prices for each security as of market close on May 3, 2023 (the “Proposed HF Sinclair Transaction”). A copy of the press release issued by HEP in connection with HF Sinclair’s proposal to purchase the Common Units is attached hereto as Exhibit 99.1 and incorporated herein by reference.
