Item 8.01. Other Events.

Illinois Tool Works Inc. (the “Company”) entered into an underwriting agreement on May 29, 2019 (the “Underwriting Agreement”) with the several underwriters named therein (collectively, the “Underwriters”), for which Citigroup Global Markets Limited and J.P. Morgan Securities plc acted as representatives, pursuant to which the Company agreed to sell and the Underwriters agreed to purchase, subject to and upon the terms and conditions set forth therein, (i) €600,000,000 in aggregate principal amount of 0.250% notes due December 5, 2024 (the “2024 Notes”), (ii) €500,000,000 in aggregate principal amount of 0.625% notes due December 5, 2027 (the “2027 Notes”) and (iii) €500,000,000 in aggregate principal amount of 1.000% notes due June 5, 2031 (the “2031 Notes” and together with the 2024 Notes and the 2027 Notes, the “Notes”). A copy of the Underwriting Agreement is filed as Exhibit 1.1 to this Current Report on Form 8-K and is incorporated herein by reference.

The Notes are being sold pursuant to the Company’s Registration Statement on Form S-3 (No. 333-219695) and the Prospectus included therein (the “Registration Statement”), filed by the Company with the Securities and Exchange Commission on August 4, 2017, and the Prospectus Supplement relating thereto dated May 29, 2019 and filed with the Commission on May 30, 2019. The Notes will be issued under an Indenture dated as of November 1, 1986, as amended by a First Supplemental Indenture dated as of May 1, 1990, between the Company and The Bank of New York Mellon Trust Company, N.A., as successor trustee.
