Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Board of Directors of Ziff Davis, Inc. (“the Board”) has appointed Jana Barsten to serve as director of the Board effective November 13, 2023. It has not yet been determined what committees Ms. Barsten will serve on. Ms. Barsten is currently a Partner at KPMG and Global Audit Leader for KPMG’s technology industry and is expected to retire from KPMG on September 30, 2023.

Ms. Barsten will be compensated in accordance with the Company’s compensation policies for Board members as described in the Company’s Proxy Statement filed with the Securities and Exchange Commission on March 28, 2023, under the section titled “Director Compensation,” which is incorporated herein by reference.

There are no transactions or relationships between the Company and Ms. Barsten that are reportable under Item 404(a) of Regulation S-K.

Ms. Barsten is expected to stand for election to the Board at the Company’s 2024 Annual Meeting of Stockholders to be held in May 2024.
