DISCLOSURE CONTROLS AND PROCEDURES
A.   Evaluation of Disclosure Controls and Procedures
     As of the end of the Registrant’s fiscal year ended December 31, 2005, an evaluation of the effectiveness of the Registrant’s “disclosure controls and procedures” (as such term is defined in Rules 13a-15(e) and 15d-15(e) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”)) was carried out by the Registrant’s chief executive officer and chief financial officer. Based upon that evaluation, the Registrant’s chief executive officer and chief financial officer have concluded that as of the end of that fiscal year, the Registrant’s disclosure controls and procedures are effective to ensure that the information required to be disclosed by the Registrant in reports that it files or submits under the Exchange Act is recorded, processed, summarized and reported within the time periods specified in Securities and Exchange commission rules and forms.
B.   Changes in Internal Control Over Financial Reporting
     There was no change in the Registrant’s internal control over financial reporting that occurred during the period covered by this report that has materially affected, or is reasonably likely to materially affect, its internal control over financial reporting.

     The Registrant has adopted a Finance Code of Conduct for Chief Executive and Senior Financial Officers (the “Code of Conduct”). EXEMPTION FROM NASDAQ CORPORATE GOVERNANCE REQUIREMENTS
     Marketplace Rule 4460(f) requires each Nasdaq National Market issuer to establish a quorum for any meeting of the holders of common stock of no less than 33 1/3% of the outstanding shares. On June 5, 2000, pursuant to Marketplace Rule 4460(a), Nasdaq granted to the Registrant an exemption from Nasdaq’s corporate governance rules. The Registrant’s by-laws state that a quorum for the transaction of business at any meeting of shareholders shall be two persons present in person, each being a shareholder entitled to vote thereat or a duly appointed proxyholder or representative for a shareholder so entitled.
