Item 2.02. Results of Operations and Financial Condition

On January 8, 2008, at the 10th Annual Needham & Company, LLC Growth Conference, Avanex Corporation (the “Company”) disclosed the following preliminary financial information regarding the second fiscal quarter ended December 31, 2007:

The Company expects to generate positive cash flow for the second fiscal quarter; and

 

  •  

The Company expects a one to two percent increase in gross margins for the second fiscal quarter as compared to the previous quarter.

These results are preliminary, have not been reviewed or audited by the Company’s independent registered public accounting firm, and are accordingly subject to adjustment prior to the Company’s reporting its complete financial results for the second fiscal quarter.
