Item 8.01. Other Events.

 

On April 25, 2018, Quality Care Properties, Inc. (the “Company”) issued a press release announcing that it has entered into a definitive agreement to be acquired by Welltower Inc. and a separate definitive agreement with ProMedica Health System, Inc. (“ProMedica”) and HCR ManorCare, Inc. (“HCR ManorCare”), under which ProMedica will assume the rights and obligations of the Company pursuant to the original plan sponsor agreement between the Company and HCR ManorCare entered into on March 2, 2018. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
