Item 5.07 Submission of Matters to a Vote of Security Holders.

Constellation Pharmaceuticals, Inc. (the “Company”) held its Annual Meeting of Stockholders on June 6, 2019. The following is a summary of the matters voted on at that meeting.

 

1.

The Company’s stockholders elected Anthony Evnin and Elizabeth G. Trehu as Class I directors, each to serve for a three-year term expiring at the 2022 Annual Meeting of Stockholders. The results of the stockholders’ votes with respect to the election of such Class I directors were as follows:
