We are offering 7,250,000 shares of our Class 2 common stock, pre-funded warrants to purchase up to 11,750,000 shares of our Class 2 common stock and warrants to purchase up to 19,000,000 shares of our Class 2 common stock. Each share of Class 2 common stock (or pre-funded warrant) is being sold together with an accompanying warrant to purchase one share of our Class 2 common stock.

The pre-funded warrants will have a term of five years, commencing on the date of issuance, and have an exercise price of $0.0001 per share. The pre-funded warrants are exercisable on the date of issuance. The warrants will have a term of five years, commencing on the date such warrants are first exercisable, and have an exercise price of $5.95 per share. The warrants are exercisable commencing on the date six months after the date of issuance. The shares of Class 2 common stock (or pre-funded warrants) and warrants will be issued separately but can only be purchased together in this offering.

Our Class 2 common stock is listed on The Nasdaq Global Select Market under the symbol “TLRY.” The last sale price of our Class 2 common stock on March 12, 2020, as reported by The Nasdaq Global Select Market, was $5.95 per share. There is no established trading market for the warrants and we do not expect a market to develop. In addition, we do not intend to list the pre-funded warrants or warrants on The Nasdaq Global Select Market, any other national securities exchange or any other nationally recognized trading system.

Overview

Our vision is to build the world’s most trusted and valuable cannabis and hemp company. We are pioneering the future of medical, wellness and adult-use cannabis and hemp research, cultivation, processing and distribution globally, and we are one of the leading suppliers of adult-use cannabis in Canada and a leading supplier of hemp products in North America.

We have supplied high-quality cannabis products to tens of thousands of patients in fifteen countries spanning five continents through our subsidiaries in Australia, Canada, Germany, Latin America and Portugal, and through agreements with established pharmaceutical distributors. We cultivate medical and adult-use cannabis in Canada and medical cannabis in Europe. We operate only in countries where cannabis or hemp-derived cannabinoids are legal, by which we mean the activities in those countries are permitted under all applicable federal and state or provincial and territory laws.

We are witnessing a global paradigm shift for cannabis and hemp, and as a result of this shift, the transformation of a multibillion dollar industry from a state of prohibition to a state of legalization. Medical cannabis is now authorized at the national or federal level in forty-one countries. The legal market for medical cannabis is still in its early stages and we believe the number of countries with legalized regimes will continue to increase. We believe that as this transformation occurs, trusted global brands with multinational supply chains will become market leaders by earning the confidence of patients, doctors, governments and adult consumers around the world.

Tilray, Inc. was incorporated in Delaware in January 2018. Prior to January 2018, we operated our business under Decatur Holdings, BV, a Dutch private limited liability company (“Decatur”), which was formed in March 2016. Decatur was incorporated under the laws of the Netherlands on March 8, 2016 as a wholly owned subsidiary of Privateer Holdings, Inc. to hold a 100% ownership interest in our direct and indirect subsidiaries through which we operated our business. Decatur was dissolved on December 27, 2018.

DIVIDEND POLICY

We have never declared or paid, and do not anticipate declaring, or paying in the foreseeable future, any cash dividends on our capital stock. Future determinations as to the declaration and payment of dividends, if any, will be at the discretion of our board of directors and will depend on then existing conditions, including our operating results, financial conditions, contractual restrictions, capital requirements, business prospects and other factors our board of directors may deem relevant. DILUTION

Dilution is the amount by which the price paid by the purchasers of the shares of Class 2 common stock, pre-funded warrants and accompanying warrants sold in the offering exceeds the net tangible book value per share of Class 2 common stock after the offering. Net tangible book value per share is determined by subtracting our total liabilities from the total book value of our tangible assets and dividing the difference by the number of shares of common stock deemed to be outstanding at that date.

Our historical net tangible book value as of December 31, 2019 was $(106.8) million, or $(1.04) per share.

After giving effect to the sale by us of 7,250,000 shares of Class 2 common stock, pre-funded warrants to purchase 11,750,000 shares of Class 2 common stock and accompanying warrants to purchase 19,000,000 shares of Class 2 common stock in this offering at the public offering price of $4.76 per share and accompanying warrant (or 4.7599 for each pre-funded warrant and accompanying warrant), after deducting underwriting discounts and commissions and estimated offering expenses payable by us, our as adjusted net tangible book value as of December 31, 2019, would have been $(21.7) million, or $(0.18) per share. This represents an immediate increase in as adjusted net tangible book value of $0.86 per share to our existing stockholders and immediate dilution of $4.94 per share to new investors purchasing Class 2 common stock in this offering.

All the warrants will be issued in certificated form only. After the exercise period, holders of the warrants will have no further rights to exercise the warrants.

Exercisability.    The warrants will be exercisable, at the option of each holder, in whole or in part, by delivering to us a duly executed exercise notice accompanied by payment in full for the number of shares of our Class 2 common stock purchased upon such exercise (except in the case of a cashless exercise as discussed below).

Exercise Limitations.    Subject to certain exceptions, a holder will not have the right to exercise any portion of the warrant if the holder (together with its affiliates) would beneficially own in excess of 4.99% or 9.99% (which percentage is elected at each holder’s discretion prior to issuance of the warrant) of the number of shares of our Class 2 common stock outstanding immediately after giving effect to the exercise. However, any holder may increase or decrease such percentage to any other percentage not in excess of 9.99% upon at least 61 days’ prior notice from the holder to us.

No Fractional Shares.    No fractional shares or scrip representing fractional shares shall be issued upon the exercise of the warrants. As to any fraction of a share which the holder would otherwise be entitled to purchase upon such exercise, the number of shares of common stock to be issued shall be rounded up to the nearest whole number.

Failure to Timely Deliver Shares.    If we fail to deliver to the holder a certificate representing shares issuable upon exercise of a warrant or to credit the holder’s balance account with Depository Trust Company for such number of shares of Class 2 common stock to which the holder is entitled upon the holder’s exercise of the warrant, in each case, by the delivery date set forth in the warrant, and if on or after such date the holder purchases the shares of our Class 2 common stock to deliver in satisfaction of a sale by the holder of the

underlying warrant shares that the holder anticipated receiving from us, then, within two business days of receipt of the holder’s request, we, at the holder’s discretion, will either (i) pay cash to the holder in an amount equal to the holder’s total purchase price (including brokerage commissions and other out of pocket expenses, if any) for the shares of Class 2 common stock purchased, or the buy-in price, at which point our obligation to deliver the underlying Class 2 common stock or credit the holder’s balance account will terminate, or (ii) promptly honor our obligation to deliver to the holder a certificate or certificates representing the underlying Class 2 common stock or credit the holder’s balance account with Depository Trust Company and pay cash to the holder in an amount equal to the buy-in price over the product of (A) the number of shares of Class 2 common stock purchased in the buy-in, times (B) the lowest closing bid price of the Class 2 common stock on any trading day during the period commencing on the date of the applicable exercise notice and ending on the date of issuance and payment.

Stockholder Approval.    The terms of the warrants require us to seek stockholder approval, at a special or annual meeting to be held no later than June 30, 2020, of the price protection features of the warrants discussed below. Until stockholder approval of such provisions has been obtained, the exercise price of the warrants cannot be adjusted below the initial exercise price of $5.95 per share. If, despite our reasonable best efforts, stockholder approval is not obtained, we are required to hold a stockholder meeting each quarter until approval is obtained.

Adjustments.    The exercise price and the number of shares of Class 2 common stock purchasable upon the exercise of the warrants are subject to adjustment upon the occurrence of specific events, including stock dividends, stock splits, reclassifications and combinations of our Class 2 common stock.

Simultaneously with such an adjustment to the exercise price of the warrants, the number of warrant shares that may be purchased upon exercise of the warrants shall be increased or decreased proportionately, so that after such adjustment the aggregate exercise price for the adjusted number of shares of Class 2 common stock underlying the warrant shall be the same as the aggregate exercise price in effect immediately prior to such adjustment (without regard to any limitations on exercise contained herein).

If we declare or make any dividend or other distribution of our assets (or rights to acquire our assets) to holders of shares of our Class 2 common stock, by way of return of capital or otherwise (including, without limitation, any distribution of cash, stock or other securities, property, options, evidence of indebtedness or any other assets) at any time after the issuance of the warrants, then, in each such case, the warrant holders shall be entitled to participate in such distribution to the same extent that the holders would have participated therein if the holders had held the number of shares of Class 2 common stock acquirable upon complete exercise of the warrants.

Variable Price Transactions.    The warrants prohibits us from effecting or entering into an agreement to effect any issuance of Class 2 common stock or options or convertible securities exercisable for or convertible into our Class 2 common stock at a price which is based upon or varies with the trading price of or quotations for the shares of our Class 2 common stock or is subject to reset, subject to certain exceptions. In the event such a transaction is effected or such an agreement is entered into, a warrant holder may, at the time of exercise of the holder’s warrant, elect to exercise the warrant at such variable price.

Anti-Dilution.    The warrants contain a price protection feature, pursuant to which, to the extent such warrants have not been exercised previously, if shares of Class 2 common stock are sold or issued in the future, or securities convertible or exercisable for shares of our Class 2 common stock are sold or issued in the future, for consideration, or with an exercise price or conversion price, as applicable, per share less than the exercise price per share then in effect, the exercise price of the warrants is reduced to the consideration paid for, or the exercise price or conversion price of, as the case may be, the securities issued in such offering. Certain exceptions apply to this price protection feature.

Cashless Exercise.     The holder may, in its sole discretion, exercise the warrant in whole or in part and, in lieu of making the cash payment otherwise contemplated to be made to us upon such exercise in payment of the

aggregate exercise price, elect instead to receive upon such exercise the net number of shares of Class 2 common stock determined according to the formula set forth in the warrant.

Fundamental Transaction.    In the event of any fundamental transaction, as described in the warrants and generally including any merger with or into another entity, sale, lease, license or other disposition of all or substantially all of our assets, tender offer or exchange offer, or reclassification of our Class 2 common shares, then upon any subsequent exercise of a warrant, the holder of the warrant will have the right to receive the same amount and kind of securities, cash or property as the holder would have been entitled to receive upon the occurrence of such fundamental transaction if the holder had been, immediately prior to such fundamental transaction, the holder of the number of warrant shares then issuable upon exercise in full of the warrant without regard to any limitations on exercise contained in the warrant.

Authorized Shares.     During the period the warrants are outstanding, we will reserve from our authorized and unissued shares of Class 2 common stock a sufficient number of shares to provide for the issuance of 100% of the shares of Class 2 common stock underlying the warrants upon the exercise of the warrants.

Transferability.    Subject to applicable laws and the restriction on transfer set forth in the warrant, the warrants may be transferred at the option of the holder upon surrender of the warrant to us together with the appropriate instruments of transfer.

Listing.    We do not intend to list the warrants on the Nasdaq Global Select Market, any other national securities exchange or any other nationally recognized trading system.

Rights as a Stockholder.    Holders of the warrants will not have the rights or privileges of holders of our Class 2 common stock, including any voting rights, until they exercise their warrants, with exceptions for participation in rights offerings or extraordinary distributions.

A U.S. holder’s holding period in a Warrant Share received on the exercise of a Warrant should begin on the day after the date that such Warrant is exercised by such U.S. holder. Although there is no direct legal authority as to the U.S. federal income tax treatment of an exercise of a warrant on a cashless basis, we intend to take the position that such exercise will not be taxable, either because the exercise is not a gain realization event or because it qualifies as a tax-free recapitalization. In the former case, the holding period of the Warrant Share should commence on the day after the Warrant is exercised. In the latter case, the holding period of the Warrant Share would include the holding period of the exercised Warrant. However, our position is not binding on the IRS, and the IRS may treat a cashless exercise of a Warrant as a taxable exchange. Lapse of Warrants

Backup withholding is not an additional tax. Dividends that are treated as effectively connected with a trade or business conducted by a non-U.S. holder within the United States and, if an applicable income tax treaty so provides, that are attributable to a permanent establishment or a fixed base maintained by the non-U.S. holder within the United States, are generally exempt from the 30% withholding tax if the non-U.S. holder satisfies applicable certification and disclosure requirements. However, such U.S. effectively connected income, net of specified deductions and credits, is taxed at the same graduated U.S. federal income tax rates applicable to U.S. persons (as defined in the Code). Any U.S. effectively connected income received by a non-U.S. holder that is a corporation may also, under certain circumstances, be subject to an additional “branch profits tax” at a 30% rate or such lower rate as may be specified by an applicable income tax treaty between the United States and such non-U.S. holder’s country of residence for purposes of such treaty.

To claim a reduction or exemption from withholding, a non-U.S. holder generally will be required to provide (a) a properly executed IRS Form W-8BEN or IRS Form W-8BEN-E (or successor form) and satisfy applicable certification and other requirements to claim the benefit of an applicable income tax treaty between the United States and such non-U.S. holder’s country of residence, or (b) a properly executed IRS Form W-8ECI stating that dividends are not subject to withholding because they are effectively connected with such non-U.S. holder’s conduct of a trade or business within the United States. Non-U.S. holders are urged to consult their tax advisors regarding their entitlement to benefits under a relevant income tax treaty.

A non-U.S. holder that is eligible for a reduced rate of U.S. withholding tax under an income tax treaty may obtain a refund or credit of any excess amounts withheld by timely filing an appropriate claim for refund with the IRS.

Gain on Sale, Exchange or Other Taxable Disposition of Our Securities
