Item 8.01 Other Events.

 

On December 17, 2020, Landcadia Holdings II, Inc. (the “Company” or “Landcadia II”), issued a press release encouraging its stockholders to vote in favor of the approval of the Company’s proposed business combination (“Business Combination”) with Golden Nugget Online Gaming, Inc. (“GNOG”) and the related proposals to be voted upon at the special meeting in lieu of the Company’s 2020 annual meeting of stockholders (the “Special Meeting”). A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
